ZOPCART TERMS & CONDITIONS

Effective Date: 1 September 2026 Last Updated: 1 September 2026

These Terms & Conditions (“Terms”, “Terms of Use” or “Agreement”) govern your access to and use of the ZopCart website, web applications, mobile applications and related services.

ZopCart operates a hyper-local e-commerce platform that enables customers to discover products and participating sellers/stores in their serviceable area and facilitates local order fulfilment and delivery through participating sellers and delivery partners.

By accessing, browsing, registering on, or using ZopCart, you agree to these

Terms. If you do not agree with these Terms, you should not use ZopCart services.

DEFINITIONS

For these Terms:

“ZopCart”, “we”, “us” or “our” means ZopCart Pvt Ltd., the operator of the ZopCart platform.

“Customer”, “you” or “your” means any person accessing or purchasing through ZopCart.

“Seller” or “Vendor” means an independent seller, shop, store or business offering goods through the ZopCart platform.

“Delivery Partner” means an independent or authorized person/entity engaged to facilitate collection or delivery of an order.

“Platform” means the ZopCart website, web application, mobile applications, APIs and related technology.

“Product” means goods or services listed by participating sellers on the Platform.

“Order” means a request placed by a Customer to purchase one or more Products through the Platform.

NATURE OF ZOPCART AS A HYPER-LOCAL PLATFORM

ZopCart is designed primarily for local and area-based commerce. Product availability, seller availability, serviceability, delivery time, delivery fee and other order conditions may depend on your location, PIN/ZIP code, selected address, seller operating area, inventory and delivery capacity.

A typical ZopCart fulfilment flow may be:

Customer → ZopCart Platform → Nearby/Eligible Seller → Delivery Partner → Customer

Depending on the applicable business model, ZopCart may facilitate the transaction, while the participating seller may be responsible for the sale, packing, product quality, statutory compliance and fulfilment of the Product.

ZopCart may also operate or support certain first-party or inventory-based services where specifically identified on the Platform.

ELIGIBILITY AND ACCOUNT REGISTRATION

You must provide accurate and current information when creating or using an account.

You are responsible for:

maintaining the confidentiality of your account credentials;

all activity carried out through your account;

providing accurate mobile number, email and address information; and

notifying ZopCart promptly if you believe your account has been compromised.

You must not impersonate another person or use an account for fraudulent, unlawful or unauthorized purposes.

USE OF LOCATION AND SERVICEABILITY

Because ZopCart provides hyper-local services, the Platform may use your selected address, PIN/ZIP code and, where you grant permission, device location to determine serviceability and identify nearby sellers or delivery options.

The availability of Products may change based on your current or selected location. A Product visible in one area may not be available in another area.

Location-based features are subject to your device settings and permissions. Details regarding personal-data and location processing are provided in the ZopCart Privacy Policy.

PRODUCT LISTINGS AND SELLER INFORMATION

Products are generally listed by participating sellers. Sellers are responsible for ensuring that their Product descriptions, images, pricing, quantity, applicable statutory information, origin information, expiry/best-before information where applicable, and other listing information are accurate and lawful.

ZopCart may require sellers to provide information necessary for legal and consumer disclosures and may remove, restrict or suspend listings that violate applicable law or ZopCart policies.

The display of a Product does not guarantee that it will remain available until checkout or delivery.

PRICING, FEES AND TAXES

The price displayed for a Product and the total order amount may include or separately identify applicable taxes, delivery charges, platform/service charges, convenience charges, handling charges, discounts or other applicable fees.

The final amount payable will be presented before order confirmation, subject to permitted post-order adjustments such as refunds, substitutions or corrections required by law or platform policy.

ZopCart may change prices, fees, offers and availability from time to time. Changes will not ordinarily affect an Order that has already been accepted except where adjustment is required due to an obvious pricing error, fraud, legal requirement, inventory issue or other circumstances permitted under applicable law.

PLACING AND ACCEPTANCE OF ORDERS

Placing an Order through ZopCart constitutes a request to purchase the selected Products. An order confirmation does not necessarily mean that the seller has irrevocably accepted the Order until the applicable acceptance/processing stage shown on the Platform.

ZopCart or the relevant seller may reject, cancel or limit an Order where permitted, including because of:

product unavailability;

incorrect or obvious pricing or listing errors;

serviceability limitations;

suspected fraud or misuse;

payment failure;

inability to fulfil the order within applicable operational constraints; or

circumstances beyond reasonable control.

Where an Order is cancelled after payment for reasons attributable to the Platform/seller, applicable refund procedures will be followed in accordance with the relevant refund policy and law.

HYPER-LOCAL ORDER ALLOCATION

ZopCart may use operational rules to route an Order to an eligible nearby seller based on factors such as location, serviceability, inventory, store hours, fulfilment capacity and delivery feasibility.

The seller fulfilling an Order may therefore differ from a seller shown during browsing or may change before fulfilment where operationally necessary.

ZopCart may also use systems or algorithms to rank or recommend Products, sellers or delivery options. Relevant ranking information will be presented where required by applicable law.

DELIVERY AND DELIVERY TIMES

Delivery is dependent on seller readiness, product availability, customer address, traffic, weather, local operating conditions, delivery-partner availability and other circumstances.

Any delivery time or ETA shown on the Platform is generally an estimate unless expressly stated otherwise.

Customers must provide a valid and accessible delivery address and reasonable delivery instructions.

If the Customer is unavailable or unreachable at the delivery location, additional steps may be taken in accordance with the applicable delivery/cancellation process.

ZopCart may use delivery partners, third-party logistics providers or other delivery arrangements.

LIVE DELIVERY LOCATION

Where supported and where appropriate permissions have been granted, ZopCart may process delivery-partner location information to enable operational tracking, order coordination, delivery navigation, estimated arrival information, security and service support.

Customers may see delivery-related location information through the Platform where the applicable feature is available.

Location information is not intended to be used for unrelated purposes, and processing is subject to the ZopCart Privacy Policy and applicable law.

RETURNS, REFUNDS, CANCELLATIONS AND REPLACEMENTS

Returns, refunds, cancellations and replacements are governed by the applicable

ZopCart Refund & Cancellation Policy, Product-specific conditions, seller policy where disclosed, and applicable law.

Nothing in these Terms is intended to take away rights that cannot lawfully be excluded under consumer-protection law.

Depending on the Product category, certain goods may be non-returnable or subject to specific conditions because of hygiene, perishability, safety, statutory restrictions or the nature of the Product.

Where a Product is defective, deficient, spurious, materially different from its advertised characteristics, or otherwise qualifies for a remedy under applicable law, the appropriate return/refund/replacement process will apply.

DIGITAL PAYMENTS AND CASH ON DELIVERY

ZopCart may offer payment options such as UPI, cards, net banking, wallets, payment gateways, or cash on delivery, subject to availability.

Payment processing may be provided by third-party payment service providers and may be subject to their terms.

A payment may be held, reversed, failed or refunded due to technical, security, banking or payment-network reasons.

For Cash on Delivery orders, ZopCart may apply order-value limits, eligibility requirements or additional verification.

COUPONS, OFFERS AND PROMOTIONS

Promotional offers, coupons, credits and discounts may be subject to additional terms, eligibility conditions, usage limits, validity periods, geographic restrictions, minimum order values, seller restrictions or product exclusions.

ZopCart may cancel or withdraw a promotion where required due to fraud, misuse, technical errors or other legitimate reasons, subject to applicable law.

Unless expressly stated, promotional benefits are not transferable and are not redeemable for cash.

CUSTOMER RESPONSIBILITIES

You agree to:

use the Platform lawfully and in accordance with these Terms;

provide accurate information;

inspect Products where appropriate and report issues through the prescribed support process;

not misuse promotional codes, refunds, chargebacks or cancellation mechanisms;

not place fraudulent, abusive or intentionally misleading Orders;

not interfere with Platform security or functionality; and

not use the Platform to distribute unlawful, harmful or unauthorized material.

PROHIBITED ACTIVITIES

You must not:

attempt unauthorized access to ZopCart systems or another user’s account;

introduce malware, harmful code or malicious traffic;

scrape or systematically extract Platform data without authorization;

manipulate ratings, reviews, search rankings or platform functionality;

create fake accounts or fake Orders;

abuse refunds or chargebacks;

use ZopCart for unlawful resale or prohibited activities; or

infringe the intellectual-property or other rights of ZopCart, sellers, delivery partners or third parties.

REVIEWS, RATINGS AND USER CONTENT

Where ZopCart permits ratings, reviews, images, comments or other user content (“User Content”), you agree that such content must be truthful, relevant, lawful and non-defamatory.

You must not submit fake reviews, paid/manipulated reviews without required disclosure, impersonate another user, or review a Product in a misleading manner.

You retain ownership of your lawful User Content, but by submitting it to ZopCart you grant ZopCart a non-exclusive, worldwide, royalty-free, transferable license to host, reproduce, display, adapt and use it for operating, improving and promoting the Platform, subject to applicable law and the Privacy Policy.

ZopCart may remove or restrict User Content that violates these Terms or applicable law.

SELLER RESPONSIBILITIES

Sellers using ZopCart must:

provide accurate business and contact information;

comply with applicable laws, licences and regulatory requirements;

maintain required product quality, safety, labelling and statutory compliance;

provide accurate Product descriptions, images, pricing and other disclosures;

honour eligible returns, refunds and remedies as required by law and applicable policies;

avoid unfair trade practices and misleading claims; and

cooperate with ZopCart in resolving customer complaints and regulatory requests.

ZopCart may suspend or terminate seller access for non-compliance, fraud, repeated customer complaints, unlawful activity, inaccurate information or policy violations.

DELIVERY PARTNER RESPONSIBILITIES

Delivery Partners are required to comply with applicable laws, delivery protocols and ZopCart operational requirements.

Delivery Partners must not misuse Customer information, use Customer data for unrelated purposes, or retain or disclose Customer information except as necessary and authorized for the delivery service or as required by law.

Delivery-related communication should be conducted through authorized channels where available.

INTELLECTUAL PROPERTY

Unless otherwise stated, the ZopCart brand, name, logos, software, interface, design, graphics, databases, text, trademarks and other Platform materials are owned by or licensed to ZopCart and are protected by applicable intellectualproperty laws.

You may use the Platform only for personal or authorized business purposes and may not copy, modify, distribute, reverse engineer, sell, license or commercially exploit ZopCart intellectual property without written authorization.

THIRD-PARTY SERVICES

The Platform may contain integrations, links or services provided by third parties, including payment providers, mapping services, communications providers, logistics providers and other technology partners.

Third-party services may have separate terms and privacy policies. ZopCart is not responsible for independent third-party services beyond the extent required by applicable law.

PLATFORM AVAILABILITY AND CHANGES

ZopCart may modify, suspend or discontinue all or part of a feature, service, store coverage area, delivery method or Platform functionality from time to time.

Because hyper-local availability depends on operating areas and local conditions, service coverage may change by area.

We do not guarantee that the Platform will always be uninterrupted, error-free, or available in every location.

DISCLAIMER

To the extent permitted by applicable law, ZopCart provides the Platform and its technology on an “as available” basis.

ZopCart does not warrant that every seller, Product, description, inventory quantity or delivery estimate will always be accurate, complete or continuously available.

Where the seller is the responsible merchant for a Product, the seller remains responsible for matters that legally rest with the seller, including product compliance, statutory disclosures, authenticity, quality and applicable consumer remedies.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, ZopCart will not be liable for indirect, incidental, special, punitive or consequential losses arising from the use of the Platform, except where such limitation is prohibited by applicable law.

Nothing in these Terms limits liability for matters that cannot lawfully be limited, including statutory consumer rights or other mandatory liabilities.

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless ZopCart and its officers, employees, affiliates and service providers from claims, losses or expenses arising from your unlawful use of the Platform, violation of these Terms, fraud, misuse of the Platform, or infringement of thirdparty rights.

SUSPENSION AND TERMINATION

ZopCart may restrict, suspend or terminate an account or access to the Platform where reasonably necessary, including for fraud, misuse, security concerns, violation of these Terms, legal requirements, repeated abuse of policies or conduct that may harm customers, sellers, delivery partners or ZopCart.

You may stop using ZopCart at any time and may request account deletion subject to applicable retention requirements.

Termination does not remove rights or obligations that by their nature should survive termination.

PRIVACY

Your use of ZopCart is also governed by the ZopCart Privacy Policy, which explains how personal data, address information, location information and other information is collected and processed.

The Privacy Policy forms part of these Terms by reference.

GRIEVANCE REDRESSAL AND CUSTOMER SUPPORT

ZopCart will provide a customer support and grievance mechanism through the channels specified on the Platform.

Where required by applicable law, ZopCart will publish the relevant grievance officer details and complaint mechanism.

These Terms shall be governed by the laws applicable in India, subject to mandatory rights and remedies available to consumers under applicable law.

Nothing in these Terms is intended to prevent a consumer from exercising a statutory right to approach a competent consumer forum, court, authority or regulator where such right is available under law.

IMPORTANT LEGAL IMPLEMENTATION NOTE

This Terms & Conditions document is drafted for a hyper-local e-commerce platform and is intended as a business/legal drafting base. Before publishing, ZopCart should customize it against its actual legal entity, seller contracts, delivery model, payment providers, product categories, refund rules, prohibited products, app permissions, service areas and operational workflows.

Applicable Indian e-commerce requirements should also be checked before launch and periodically thereafter. The Consumer Protection (E-Commerce) Rules, 2020 apply to e-commerce goods/services and different e-commerce models, including marketplace and inventory models. The rules require relevant seller information and disclosures and address grievance redressal, seller duties, pricing and consumer-facing information.
